1. Acceptance of Terms
By accessing or using rapidproto.co.za, or by engaging RapidProto (Pty) Ltd (“RapidProto”, “we”, “us”, or “our”) for any of its services, you (“Client” or “you”) agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our website or engage our services.
These terms constitute a legally binding agreement between you and RapidProto (Pty) Ltd, a company registered in the Republic of South Africa.
2. Services Offered
RapidProto offers the following services:
- Prototype Readiness Scorecard — a free, no-obligation online assessment tool that evaluates your project’s technical readiness and produces a personalised Prototype Readiness Report. No purchase is required.
- Blueprint & Sprint Map — a fixed-fee engagement (R5,000) resulting in a detailed technical architecture document and sprint plan. This fee is non-refundable once the deliverable has been provided.
- Foundation Sprint — a fixed-scope prototyping engagement delivering a cloud-native, production-grade prototype. Pricing is fixed per project and agreed in writing prior to commencement.
- Architect-as-a-Service Retainers — ongoing technical advisory and development services delivered on a monthly subscription basis. Terms specific to each retainer tier are set out in the relevant service agreement.
3. Intellectual Property
The ownership of intellectual property is governed as follows:
- RapidProto retains all intellectual property rights in its proprietary methodologies, frameworks, base templates, internal tooling, and reusable components developed independently of any client engagement.
- Upon delivery of a Foundation Sprint or similar project, the client receives a perpetual, non-exclusive, royalty-free licence to use the delivered prototype and codebase for its intended commercial purpose.
- Equity arrangement pathway: Where the client and RapidProto have agreed to an equity-based fee structure, the licence converts to a full IP assignment upon the completion and registration of the agreed share transfer.
- Cash payment pathway: Where the engagement is on a cash-payment basis, full IP assignment occurs upon receipt of the final payment in cleared funds.
- All client-supplied data, content, business logic, and proprietary information remain the sole property of the client at all times.
4. Payment Terms
The following payment terms apply to each service:
- Blueprint & Sprint Map: Payment of the full fixed fee (R5,000) is required upfront via PayFast before work commences. This fee is non-refundable once the deliverable has been issued.
- Foundation Sprint: A deposit of 50% of the agreed project fee is payable upfront prior to commencement. The remaining 50% is payable upon delivery of the final prototype.
- Architect-as-a-Service Retainers: Monthly retainer fees are payable in advance on or before the first day of each service month. Retainers may be cancelled with 30 days’ written notice; no partial-month refunds are provided.
- All prices are exclusive of VAT where applicable. VAT will be charged in accordance with applicable South African tax legislation.
5. Confidentiality
RapidProto treats all client project information, business data, and proprietary details as strictly confidential. We will not disclose client information to any third party except as required to deliver the agreed services, or as required by law.
In turn, clients agree not to disclose, reverse-engineer, or reproduce RapidProto’s proprietary methodologies, internal frameworks, or tooling. Any breach of this obligation may result in termination of the engagement and legal action.
6. Limitation of Liability
To the maximum extent permitted by South African law:
- RapidProto’s total liability to you in connection with any claim arising from or relating to these terms or any service engagement shall be limited to the fees paid by you to RapidProto in the three (3) months immediately preceding the event giving rise to the claim.
- RapidProto shall not be liable for any indirect, consequential, special, incidental, or loss-of-profit damages, whether arising in contract, delict, or otherwise, even if we have been advised of the possibility of such damages.
- RapidProto is not liable for losses arising from your use of third-party services (including PayFast, AWS, or any other provider) engaged in connection with the delivery of our services.
7. Warranty & Guarantee
RapidProto warrants that all delivered code will:
- Compile and run without critical errors in the agreed target environment.
- Pass the automated test suite included with the delivery.
- Meet the agreed functional specification documented in the Blueprint & Sprint Map or equivalent statement of work.
Our No-Rewrite Guarantee means that the delivered codebase is structured such that any competent mid-to-senior developer can understand, maintain, and extend it without being required to rewrite the foundation. This guarantee applies to code quality, structure, and documentation — it does not constitute a warranty that the prototype will scale to arbitrary production loads without further infrastructure investment, which is outside the scope of a prototyping engagement.
Warranty claims must be raised in writing within 30 days of delivery. RapidProto will address valid warranty claims at no additional charge.
8. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the South African courts, with the parties consenting to the jurisdiction of the High Court of South Africa (Gauteng Division) where applicable.
9. Amendments
RapidProto reserves the right to update or amend these Terms of Service at any time. We will update the “Last updated” date at the top of this page when changes are made. Your continued use of our website or services following the posting of any changes constitutes your acceptance of the revised terms. We recommend reviewing this page periodically.
